Corporate Leadership and Governance

West’s board of directors is composed of four outside directors and their chief executive officer. Each director is elected to a term of three years.

Thomas B. Barker is Chairman of the Board and CEO of West Corporation. Barker joined West in 1991 as Executive Vice President of West Interactive Corporation. He became President and COO in March 1995 and became President and CEO of West Corporation in September 1998, serving as President until January 2004. Barker has been a director of the company since 1997 and Chairman of the Board since March 2008.

Anthony J. DiNovi is a Co-President of Thomas H. Lee Partners, L.P. (THL) DiNovi joined THL in 1988. DiNovi is a director of Dunkin’ Brands Group, Inc. He has been director of West Corporation since 2006 and was Chairman of the Board from October 2006 until March 2008.

Steven G. Felsher is a Senior Advisor at Quadrangle Group LLC. Prior to joining Quadrangle in January 2011, Felsher was the Vice Chairman and Chief Financial Officer-Worldwide of Grey Global Group Inc. Felsher is a director of NTELOS Holding Corp. and Lumos Networks Corp., as well as a number of private corporations. He has been a director of West Corporation since 2011.

Soren L. Oberg is a managing director of Thomas H. Lee Partners. He worked at Thomas H. Lee Partners from 1993 to 1996 and rejoined the firm in 1998. Oberg is a director of Ceridian Corporation, Grupo Corporativo Ono, S.A. and Systems Maintenance Services, Inc. He has been a director of West Corporation since 2006.

Jeff T. Swenson is a Managing Director of Thomas H. Lee Partners, joining the firm in 2004. Swenson is a director at Acosta, Inc. Swenson has been a director of West Corporation since 2006.

West’s executive team is as follows:

Thomas B. Barker is Chairman of the Board and CEO. Barker joined West in 1991 as Executive Vice President of West Interactive Corporation. He became President and COO in March 1995 and became President and CEO in September 1998, serving as President until January 2004. Barker has been a director of the company since 1997 and Chairman of the Board since March 2008.

Nancee R. Berger joined West Interactive Corporation in 1989 as Manager of Client Services. She was promoted to Vice President of West Interactive Corporation in May 1994. She was later promoted to Executive Vice President of West Interactive Corporation in March 1995 and to President of West Interactive Corporation in October 1996. She was promoted to Chief Operating Officer of West Corporation in September 1998 and to President and COO in January 2004.

Paul M. Mendlik joined West in 2002 as Chief Financial Officer and Treasurer. Prior to joining West, he was a partner in the accounting firm of Deloitte & Touche LLP from 1984 to 2002.

Scott Etzler was recruited to the president and COO role of InterCall in 1998. He achieved the CEO title in 1999 and sold the business to West Corporation in 2003. Prior to joining InterCall, Etzler held executive positions in the voice and data communications industry, with companies such as AT&T Corporation, Decision Industries and U.S. Sprint.

Skip Hanson joined West Corporation in 1991 as a business analyst and received a series of promotions, which included a 1992 move to director, administration; a period in 1994 as director, HR; a 1995 assignment as director, corporate purchasing and travel; and promotions to vice president, administration, in 1996 and vice president, corporate site development, in 1997. In 1999 Hanson was named West’s chief administrative officer and executive vice president of corporate services. In January, 2008 he became president of West Customer Management Group. In 2009, Hanson became president of consumer services, leading West Customer Management Group and West Interactive.

George Heinrichs is co-founder and president of Intrado. In 2006, Heinrichs joined West Corporation as president of Intrado during its acquisition. A recognized emergency services expert, Heinrichs has played a key role in the evolution of the nation’s 911 network and continues to influence 911 public policy.

Rod Kempkes has been part of the West senior management team since 1989 and has held various positions within West, including vice president of accounting during the corporation’s initial public offering in 1996. Kempkes is the president of West Direct, where he has the profit and loss responsibility for West Corporation’s direct response subsidiary, which includes home agents, IVR and government services. Kempkes was a practicing CPA in Nebraska prior to joining the West team.

Mick Mazour joined West in November 1987 as director of data processing operations, where he led the technical development efforts of the direct response group. He was subsequently promoted to vice president in 1990. In 1995, Mazour was named senior vice president of client operations, and in 1997 he was promoted to executive vice president. In November 2004, Mazour became president of West Business Services, where he developed the organization into an industry-leading enterprise. In January 2007, Mazour became president of West Asset Management. Since July 2009, he has assumed the role of president of commercial services and oversees West Business Services and West Asset Management.

David C. Mussman joined West in January 1999 as Vice President and General Counsel and was promoted to Executive Vice President in 2001. Prior to joining West, he was a partner at the law firm of Erickson & Sederstrom. In 2006, Mussman became Secretary of West Corporation.

Steven M. Stangl joined West Interactive Corporation in 1993 as Controller and in 1998, he was promoted to President of the West Interactive Corporation. In January 2004, Stangl was named President, Communication Services.

Todd B. Strubbe rejoined West in September 2009 as president - Unified Communications. He had previously held the positions of President of West Direct, Inc., and President of West Interactive Corporation between July 2001 and August 2006. Strubbe served as President, First Data Debit Services, in 2006 and 2007. He founded and was Managing Partner of Arbor Capital, LLC, during 2008 and 2009. Prior to joining West in 2001, he was President and COO of CompuBank, N.A. He was with First Data Corporation from 1995 to 2000 serving as Managing Director, Systems Architecture and Product Development, and Vice President of Corporate Planning and Development. Prior to joining First Data, Strubbe was with McKinsey & Company, Inc.

David J. Treinen joined West in 2007 as Executive Vice President of Corporate Development and Planning. Before joining West, he served as Executive Vice President of Corporate Development and Strategy for First Data Corporationfrom September 2006 until September 2007. Prior to that assignment, Treinen held a number of responsibilities at First Data, including Senior Vice President from February 2006 to August 2006; President of First Data Government Solutions from April 2004 to January 2006; and Managing Director of eONE Global, a First Data Corporation subsidiary, from November 2000 through March 2004.
